§1 Scope of Application

These General Terms and Conditions apply to all contracts between Caputo Bauunternehmen GmbH and its commercial clients. Deviating terms and conditions shall only apply with written consent.

§2 Contractual Basis / VOB/B

The contract components consist of the offer, the order confirmation, these Terms and Conditions, and the VOB/B (German Construction Contract Procedures Part B) in its currently valid version.

§3 Scope of Services

The scope of services is derived from the offer. Additional and supplementary services will be invoiced separately.

§4 Prices and Payment Terms

All prices are net plus the applicable statutory VAT. Progress payments (interim invoices) according to §16 VOB/B are permitted. Payment term: 14 days.

§5 Duty of Cooperation

The client ensures that all permits, plans, and clear access to the site are provided. Delays resulting from a lack of cooperation are not the responsibility of the contractor.

§6 Execution Deadlines

Deadlines shall be extended in cases of force majeure, weather conditions, supply bottlenecks, or official/government orders.

§7 Acceptance

Acceptance of work shall take place in accordance with §12 VOB/B. If no formal acceptance occurs within 12 working days, the performance is deemed accepted.

§8 Warranty

Warranties are governed by §13 VOB/B. Initially, the client's claim is limited to supplementary performance (rectification).

§9 Liability

Liability is limited to cases of intent and gross negligence. In cases of simple negligence, liability applies only to the breach of essential contractual obligations.

§10 Retention of Title

Delivered materials remain the property of the contractor until full payment has been received.

§11 Termination

Terminations are governed by §8 VOB/B. Services already rendered must be compensated.

§12 Data Protection

The processing of personal data is carried out in accordance with statutory data protection regulations.

§13 Jurisdiction

The place of jurisdiction is—insofar as legally permissible—Kraichtal. German law applies.

§14 Severability Clause

Should individual provisions be or become invalid, the validity of the remaining provisions shall remain unaffected.
